APort Terms of Service

Welcome to APort ("APort", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of APort's products and services, including the APort registry, issuance and verification APIs, policy packs, badges, dashboards, documentation, websites, and related software (collectively, the "Service"). By creating an account, issuing or verifying a Passport, embedding or calling our APIs, or otherwise using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. "You" or "Customer" means that entity or the person using the Service.

1) What APort Is (and Is Not)

APort provides a neutral trust rail for AI agents and automations. We enable:

  • Template Passports (builder-owned identity and baseline capabilities),
  • Instance Passports (per-tenant installs that inherit baseline and add tenant/platform limits),
  • Verification (e.g., /verify, policy-aware checks),
  • Attestations & Countersignatures (facts we checked at a point in time), and
  • Global suspend / revoke mechanisms.

Attestations to Evidence, Not Safety

APort issues attestations to evidence (e.g., "domain TXT verified", "GitHub org membership verified on DATE", "policy limits configured as X"). APort does not warrant model safety, code correctness, fitness for a particular purpose, regulatory compliance, or lawful operation of any agent, platform, or workflow.

No Professional Advice

Nothing in the Service is legal, security, compliance, or financial advice. You are solely responsible for your use cases, policies, and outcomes.

2) Accounts, Access, and Responsibilities

You must keep your credentials and API keys secure. You are responsible for actions under your account. You will only use the Service in compliance with applicable laws, including privacy, data protection, export, and sanctions laws. You warrant you have all rights necessary to submit content (including Passport data) and to authorize the use described in these Terms.

3) Usage Rules (Acceptable Use)

You agree not to:

  • Use the Service to violate law, infringe rights, or harm people or property.
  • Misrepresent identity, ownership, capabilities, or attestations.
  • Circumvent security, rate limits, or overage protections.
  • Interfere with the Service's normal operation.
  • Use the Service to control life-critical systems or emergency services.
We may suspend or terminate access for violations or risk to the Service, customers, or the public.

4) Service Levels, Changes, and Beta

We aim for high availability but provide the Service "AS IS" without warranties (see §10). We may throttle or rate-limit verification endpoints to protect stability. We may modify or discontinue features with reasonable notice where feasible. Features marked Beta are provided for evaluation and may change or be withdrawn.

5) Data, Privacy, and Security

Our Privacy Policy (incorporated by reference) explains what we collect and how we use it. You remain the controller of Passport content you submit. You acknowledge that verification, policy decisions, audit, and abuse prevention require processing certain metadata (e.g., verify logs, IPs, headers).

6) Content and Licenses

Your Content

You retain ownership of content you submit (e.g., Passport details, logos). You grant APort a non-exclusive license to host, process, display, and transmit Your Content to operate the Service and as you configure (e.g., public Agent Passport pages).

Where labeled, these may be under open-source licenses described in our License page.

APort Materials

Aside from the above, we and our licensors own the Service and all related IP. No rights are granted except as expressly set out in these Terms.

7) Third-Party Services

The Service may interact with third-party services (e.g., GitHub, helpdesk, commerce, CI/CD). We are not responsible for those services. Your use of third-party services is subject to their terms.

8) Fees and Taxes

If you purchase paid features (e.g., Builder Pro, Platform plans), you agree to pay the listed fees. Fees are exclusive of taxes; you are responsible for applicable taxes. We may change prices with notice for subsequent terms.

9) Indemnity

You will defend, indemnify, and hold harmless APort and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or applicable law.

10) Disclaimers; Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". APORT AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. LIMITATION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL APORT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO APORT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $1,000. Some jurisdictions do not allow certain disclaimers or limits; they apply to the fullest extent permitted.

11) Suspension and Termination

We may suspend or terminate access for material breach, legal/operational risk, or non-payment. You may terminate at any time; no refunds for partial periods. Upon termination, your right to access the Service ceases. Certain sections survive (e.g., §§6, 9–13).

12) Governing Law; Disputes

These Terms are governed by the laws of Ontario, Canada (without regard to conflicts of laws). The courts located in Toronto, Ontario will have exclusive jurisdiction. You and APort waive jury trial to the extent permitted by law.

13) Changes to Terms

We may update these Terms. Material changes will be notified (e.g., email or banner). Continued use after the effective date constitutes acceptance.

APort helps people know who an agent belongs to, what it's allowed to do, and how to stop it. We attest to evidence (like domain or GitHub org verification) and enforce limits you configure. We do not guarantee that an agent is safe, correct, or compliant. You are responsible for what your agents do.

Definitions

Passport: machine-readable identity & policy document (Template or Instance). Template Passport: builder-owned identity and baseline capabilities. Instance Passport: tenant/platform-scoped install inheriting baseline with overrides. Assurance Levels: L0–L3 (e.g., email, GitHub org, domain) indicating strength of evidence. Policy Pack: versioned JSON rules for a specific action (e.g., refunds, exports, PRs).
